Location: This role requires associates to be in-office 3 days per week, fostering collaboration and connectivity, while providing flexibility to support productivity and work-life balance. The Legal Specialist Senior is responsible for providing comprehensive governance support for numerous subsidiary entities, shareholder services, and the Corporate Secretary’s Office. This role is transactional and governance-focused (not litigation) and requires strong organizational, technical, and project management skills.
How You Will Make an Impact
- Draft and prepare board/shareholder resolutions for corporate actions (officer and director elections, dividend declarations, investment transactions, capital contributions, regulatory filings, intercompany transactions).
- Maintain corporate records (digital and hardbound books) and update governance documents.
- Prepare and review legal documentation to close transactions, support entity licensing, and ensure good standing and best governance practices.
- Conduct legal research and analysis; recommend actions and next steps.
- Support entity management activities, including creating, merging, dissolving, or relocating entities; prepare and file governing documents (Articles, Bylaws/Operating Agreements, merger agreements, consents).
- Perform fact checking, gather documents, research and respond to audit requests, record requests, diligence requests and various inquiries from internal and external sources
- File required Secretary of State forms (annual reports, DBAs, name changes, dissolutions, qualifications).
- Prepare officer, director, and executive biographical affidavits.
- Maintain legal entity management database and shared systems.
- Schedule, prepare and organize materials for, attend meetings for and take minutes of board meetings for multiple entities
- Upload board materials to designated platforms; attend meetings virtually and record minutes.
- Manage execution of complex documents requiring multiple signatures and approvals.
- Monitor shared inbox and respond to registered agent notices and inquiries from internal/external stakeholders.
- Lead cross-functional planning and vendor management, including service-level compliance, accruals, invoices, and budget forecasting.
- Support shareholder services operations (e.g., website/SharePoint maintenance, digital fingerprinting of directors/officers, shareholder communications).
- Create and maintain tools for team efficiency: trackers, form documents, checklists, templates, presentations.
- Contribute to department process improvements and adoption of project management/AI tools.
Minimum Requirements:
Requires a High School diploma or equivalent and a Paralegal Certification or an AA/AS/BA/BS in a related field and a minimum of 10 years of legal or related experience; or any combination of education and experience, which would provide an equivalent background.
Preferred Skills, Capabilities, and Experiences:
- Strong governance knowledge, entity management, and regulatory compliance experience.
- Proficiency in Microsoft Office, Adobe Pro, Excel, (PowerPoint is a plus), SaaS applications, and collaboration/document management tools.
- Exceptional organizational skills, attention to detail, and ability to manage multiple priorities.
- Strong written/oral communication skills, including executive-level communication.
- Budgeting, vendor oversight, and project management expertise.
- Collaborative, curious, adaptable, and efficiency-focused mindset with enthusiasm for process automation and AI adoption (e.g., entity management platforms, project tracking, automation of filings and legal research)
